Terms of service

1. Agreement

These Terms govern your use of the Fudge3d website, the Fudge3d desktop application for Windows 10/11 and macOS on Apple Silicon, and your customer dashboard (together, the "Service"), provided by Trium Designs Private Limited, registered in India at 105 Pratham Residency, Kapurai, Waghodiya Road, Vadodara, Gujarat 390025 ("we", "us").

By downloading, installing or using Fudge3d, you agree to these Terms. If you do not agree, do not use the Service.

You must be at least 18 years old and able to enter a binding contract. If you use Fudge3d for an employer or client, you confirm you are authorised to accept these Terms on their behalf, and "you" includes that organisation.

2. What Fudge3d is

Fudge3d is a product of Trium Designs Private Limited. It is desktop software that:

  • opens and displays 3D models in FBX, OBJ and GLB formats (the free viewer);
  • generates 3D models from an image or text prompt, produces PBR texture maps, performs automatic remeshing, and re-paints existing models (the Pro features).

Generation, remeshing and repainting run on your own computer using your own hardware. Creative inputs and outputs are not uploaded for processing.

3. Licence we grant you

3.1 Free tier. We grant you a perpetual, worldwide, non-exclusive, non-transferable licence to install and use the Free tier - the viewer and the applicable monthly generation allowance - on any number of computers you own or control, for personal or commercial purposes, at no charge.

3.2 Free trial. New accounts may activate a 14-day free trial of the Pro features. The trial begins when you first activate it, runs once per person, and ends automatically. No payment method is required to start the trial. At the end of the trial, you will be asked to purchase a licence to continue using the Pro features; the application otherwise returns to the Free tier, which includes the viewer and the applicable monthly generation allowance. We may withdraw or vary trial availability for future users at any time; this never affects a trial already running.

3.3 Pro subscription. While your subscription is active and paid, we grant you a worldwide, non-exclusive, non-transferable licence to use the Pro features.

  • The subscription is for a named individual. It may not be shared between people.
  • Pro features may be activated on up to three (3) devices at a time. When you activate a fourth device, the device that checked in least recently is automatically deactivated. This happens without warning by design; the deactivated device is named in your dashboard and in the new device's confirmation message.
  • Your licence key is personal. Publishing, selling or sharing it is a material breach of these Terms and we may revoke the licence.
  • Your subscription is a subscription, not a purchase of a perpetual copy. If it ends, expires or is cancelled, Fudge3d returns to Free. See section 3.5 for what you keep.

3.4 What you may not do. You may not: reverse engineer, decompile or disassemble the software, except where that right cannot lawfully be excluded; circumvent, remove or interfere with licensing, activation or the device limit; redistribute, rent, lease, sublicense or host the software as a service; remove our notices or branding from the software itself; or use the Service in breach of applicable law or export controls.

3.5 What happens when a subscription ends. When a subscription ends for any reason - cancellation, expiry, failed payment or refund:

  • the Free tier continues to work, permanently and at no charge;
  • every 3D model, mesh and texture you generated while subscribed remains yours, remains on your computer, and remains fully usable, including commercially. We do not disable, remove, watermark or restrict anything you have already created;
  • the Free monthly generation allowance remains available, while unlimited generation and Pro-only functionality such as automatic remeshing and repainting require an active Pro entitlement;
  • your account, licence record and dashboard remain available so you can resubscribe at any time.

4. Your content and generated output

4.1 You own your inputs. You retain all rights in the images, prompts, models and other material you use with Fudge3d. We never receive them.

4.2 You own your outputs. We claim no ownership of and no licence to the 3D models, meshes and textures you generate with Fudge3d. They are yours. You may use them for any purpose, including commercial projects, games, films and client work, with no royalty, attribution or revenue-share obligation to us.

4.3 Your responsibility for what you generate. You are solely responsible for your inputs and outputs, and you confirm that:

  • you hold the rights to any image you use as a prompt;
  • your use of the output does not infringe anyone's copyright, trade mark, design right, publicity or personality rights;
  • you will not use Fudge3d to produce material that is unlawful, or that infringes third-party rights.

Important. The legal status of AI-generated content is unsettled and differs by country. In some jurisdictions, purely AI-generated output may not attract copyright protection at all. We make no representation that output is free of third-party rights or that you can register copyright in it. If your project needs certainty on this point, take your own legal advice.

5. Accounts

You sign in through a supported identity provider; we do not issue passwords. You are responsible for keeping access to that provider account secure and for all activity under your Fudge3d account. Tell us promptly at support@fudge3d.com if you believe your account has been compromised.

You may delete your account at any time from your dashboard. Deleting your account does not cancel your subscription - cancel it first.

6. Purchases, billing and price changes

6.1 Paddle is the seller. Our subscriptions are sold by Paddle.com Market Ltd, which acts as the merchant of record and reseller. Paddle, not us, is the seller of the subscription to you, and Paddle's Buyer Terms apply to the purchase transaction: https://www.paddle.com/legal/checkout-buyer-terms. Paddle handles payment, invoicing, VAT, GST and sales tax.

6.2 Subscription and renewal. Subscriptions are offered on a monthly or annual basis and renew automatically at the end of each period until cancelled. You may cancel at any time from your dashboard or the Paddle billing portal. Cancellation takes effect at the end of the current paid period; you keep Pro access until then. Refunds are governed by our Refund Policy.

6.3 Prices and taxes. Prices are shown at checkout in your currency and may include tax depending on your location. We may change prices for future billing periods; we will give you at least 30 days' notice by email before a change affects your renewal, and you may cancel before it takes effect. Existing paid periods are never re-priced.

6.4 Failed payment. If a payment fails, Paddle will retry over a short period. If it remains unpaid, your Pro licence is suspended and the desktop application returns to the Free tier. Your files, your account and your previously generated models are unaffected.

7. Hardware requirements

Fudge3d requires a compatible GPU and a minimum amount of video memory, published at fudge3d.com/download. It is your responsibility to check these before subscribing. Generation speed and quality depend on your hardware; we make no performance guarantee for any particular machine. The free viewer lets you confirm the software runs on your system before you pay.

8. Updates and changes to the Service

We may update Fudge3d to add features, integrate improved models, fix defects and maintain compatibility. We may also modify or discontinue features. If we make a change that materially reduces core functionality of a paid subscription, we will give you notice and, if you cancel because of it, a pro-rata refund of your unused period.

9. Support

Support is provided by email at support@fudge3d.com during Indian business hours (Monday to Friday), with a target first response within 2 business days. Support covers installation, licensing and defects. It does not cover 3D modelling advice, third-party software, or hardware problems.

10. Intellectual property in the software

The software, its source code, design, user interface, documentation, the name Fudge3d, the Fudge3d logo and all associated branding are owned by us and protected by intellectual property law. These Terms grant you a licence to use the software; they transfer no ownership. Third-party and open-source components are used under their own licences, listed in the application's About screen.

11. Warranty disclaimer

The Service is provided "as is" and "as available", without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the software will be uninterrupted or error-free, that generated output will meet your expectations, or that any particular model, topology or texture quality will result.

Some jurisdictions do not allow the exclusion of implied warranties. Where that is so, this section applies to the fullest extent permitted, and nothing in these Terms limits any non-excludable statutory right you have as a consumer.

12. Limitation of liability

To the maximum extent permitted by law:

  • we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost data, or loss of goodwill, however caused;
  • our total aggregate liability arising out of or relating to the Service is limited to the greater of (a) the amount you paid for the Service in the twelve (12) months before the event giving rise to the claim and (b) USD 100.

Nothing in these Terms excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded.

Back up your work. We are not liable for lost or corrupted project files or generated assets.

13. Indemnity

You will indemnify and hold us harmless against claims, losses and reasonable legal costs arising from your use of the Service in breach of these Terms, or from your use of content you generated with it.

14. Termination

You may stop using Fudge3d at any time and cancel your subscription from your dashboard.

We may suspend or terminate your access if you materially breach these Terms - in particular by sharing or publishing a licence key, circumventing the device limit or licensing, or using the Service unlawfully. Where the breach is capable of remedy and is not deliberate, we will give you notice and a reasonable chance to fix it. If we terminate for breach, no refund is due. If we terminate without cause, we will refund your unused period pro rata.

On termination, sections 3.5, 4, 10, 11, 12, 13 and 16 survive.

15. Export and sanctions

You confirm you are not located in, and will not use Fudge3d in, a country subject to comprehensive trade sanctions, and that you are not on a restricted-party list under applicable Indian, EU, UK or US law.

16. Governing law and disputes

These Terms are governed by the laws of India, and the courts at Vadodara, Gujarat have exclusive jurisdiction, except that:

  • if you are a consumer resident in the European Economic Area or the United Kingdom, you keep the protection of the mandatory consumer-law provisions of your country of residence and may bring proceedings there;
  • nothing in this section removes any non-excludable right under your local consumer law.

Before starting proceedings, please contact us at legal@fudge3d.com - most issues are resolved quickly.

17. General

These Terms, together with the Privacy Policy and Refund Policy, are the entire agreement between us regarding the Service. If any provision is held unenforceable, the rest continues in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them to a successor in connection with a merger, acquisition or sale of assets, on notice to you.

We may amend these Terms. We will post the updated version with a new date and, for material changes affecting your rights, email you at least 30 days in advance. Continuing to use the Service after a change takes effect means you accept it.
